3. Payment Terms

Fees for our Services are set forth in the applicable SOW or invoice. All payments are processed securely through our third-party payment processor (Stripe). By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

Invoices are due upon receipt unless otherwise specified.
Late payments may result in a suspension of Services.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities.

4. Intellectual Property Rights

Upon full payment of all fees due, Leinsberg, Inc. grants you a non-exclusive, worldwide, perpetual license to use the final deliverables created specifically for you. The Company retains all rights, title, and interest in and to its pre-existing materials, methodologies, and proprietary tools used to perform the Services.

5. Limitation of Liability

IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

6. Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Service, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.
